Swepsv is a digital agency operated by Keith Watkins, a Sole Proprietor based in Markham, Ontario.


Introduction

This Terms of Use Agreement governs your access to and use of https://swepsv.com (the "Website") and all related products, materials, and services made available through it (collectively, the "Services"). This Agreement is entered into between you and Swepsv (referred to throughout as "the Company," "we," "us," or "our"). By proceeding, you are agreeing to be bound by every provision set out below.


1. Acceptance of These Terms

Before using the Services, please review this Agreement in its entirety. Accessing or using the Services — or clicking any "accept" or "agree" button when prompted — constitutes your binding acceptance of these terms, whether on your own behalf or on behalf of an organization you are authorized to represent. If you are unwilling or unable to accept these terms, you must refrain from using the Services and leave the Website immediately.


2. Eligibility

Access to the Services is restricted to individuals who meet all of the following criteria: you must be at least 18 years of age; you must be a resident of Canada; and you must not be a competitor of Swepsv, nor may you use the Services for purposes that compete with the Company's business.

By accessing the Services, you confirm that you satisfy each of these requirements and that you hold the authority to enter into this Agreement on your own behalf or on behalf of the entity you represent. Individuals who do not meet these criteria are not permitted to use or access the Services.


3. Modifications to This Agreement

Swepsv reserves the right to amend this Agreement at any time, at the Company's sole discretion. Except where changes are necessary for legal or administrative reasons, Swepsv will give you reasonable advance notice before amendments take effect. Changes apply to all use of the Services from their effective date onward. For new users, amended terms take effect immediately upon first use.

Continuing to use the Services after any amendments have been made constitutes your acceptance of the revised terms. You are responsible for reviewing this page regularly, as all changes are binding once effective.


4. Access to the Services

Changes to the Services. The features and scope of the Services may be updated, modified, or discontinued at any time as the Company develops and refines its offerings. Swepsv may withdraw or suspend the Services, in whole or in part, without prior notice. The Company bears no liability to you or any third party for losses resulting from the Services being unavailable at any time or for any duration.

Creating an Account. Certain features may require you to register an account and supply accurate personal information. You are responsible for keeping that information current and complete. Where a third-party service is used to connect with the Services, you grant Swepsv permission to access and use your information from that service as its terms allow. All information you submit is subject to the Swepsv Privacy Policy (https://swepsv.com/privacy-policy), and by using the Services you consent to our handling of your information in accordance with that policy.

Account Responsibilities. You bear full responsibility for maintaining the security of your login credentials and for all activity that occurs under your account. Your account is personal to you and may not be shared with or transferred to another person without Swepsv's prior written consent. You should always log out at the end of each session and exercise particular caution when accessing your account from shared or public devices. Any suspected or confirmed unauthorized access to your account must be reported to Swepsv immediately. The Company will not be liable for losses arising from your failure to secure your account, and you may be held responsible for any harm to the Company or third parties resulting from unauthorized use of your credentials.

Account Termination by the Company. Swepsv may suspend or close your account at any time, for any reason or no reason, including a determination that you have breached any provision of this Agreement.


5. Permitted and Prohibited Use

Lawful Use Only. You may use the Services only for purposes that are lawful and consistent with this Agreement, including business or commercial purposes. Any use that could damage the Services or the Company's operations is prohibited.

Prohibited Activities. The following conduct is strictly forbidden when using the Services:

Violating any law, regulation, intellectual property right, privacy right, or contractual obligation. Sending unsolicited communications of any kind, including spam, chain messages, or unauthorized promotional material. Impersonating any individual or entity, or misrepresenting your affiliation with any person or organization. Exploiting, endangering, or collecting personal information from minors. Posting or transmitting content that fails to meet the Content Standards set out in this Agreement. Harassing other users or engaging in conduct that exposes the Company or others to liability or harm. Using any software, device, or process that disrupts or places undue strain on the Services or its infrastructure. Copying, scraping, or automatically extracting data from the Website, except as conditionally permitted for public search engine indexing. Uploading or distributing malicious code of any kind, or launching any form of attack against the Services. Attempting to gain unauthorized access to the Services, bypass security measures, or interfere with any connected systems or databases. Reverse engineering or attempting to extract source code from any part of the Services. Harvesting or assembling data about other users without their consent. Attempting any of the foregoing, or facilitating others in doing so.


6. Terms and Conditions of Sale

Purchasing Process. When you choose to acquire Services through the Website, the steps you take from selecting a service through to order submission form part of the purchasing process. Clicking the checkout button opens a third-party merchant interface where you will enter your contact details and select a payment method. Before submitting, you must review your order carefully and confirm it using the designated button on the Website. Doing so constitutes your commitment to pay the stated price.

Order Submission. Submitting an order creates a binding obligation to pay all applicable fees, taxes, and any additional charges disclosed on the order page. Where your order requires you to provide specifications, personal data, or other input, submission also creates an obligation to cooperate in providing that information. A confirmation receipt will be sent to the email address you provided, and all purchase-related notifications will be directed to that address.

Pricing and Fees. All applicable fees, taxes, and costs are disclosed to you prior to order submission during the purchasing process.

Payment Methods. Accepted payment methods are presented during checkout. Certain methods may be subject to additional conditions or fees, details of which are available in the relevant section of the Website. Payments are processed by independent third-party providers; the Website does not collect or store payment card details directly and receives only a confirmation once payment is completed. If payment is declined or fails, Swepsv is under no obligation to fulfill the order, and any resulting fees are your responsibility.

Usage Rights. Your right to use any purchased Services does not commence until the Company has received full payment.

Subscriptions. Subscription-based Services provide you with ongoing or periodic access over a defined period. Paid subscriptions begin on the date payment is received. To maintain uninterrupted access, recurring fees must be paid on time; failure to do so may result in service interruption.

Fixed-Term Subscriptions. Fixed-term subscriptions begin on the date of payment and continue for the period you selected during purchase. Once the term expires, the Services become inaccessible unless you renew by paying the applicable fee. Fixed-term subscriptions cannot be cancelled early and run their full course upon expiry.

Automatic Renewal. Unless you cancel before the deadline specified in this Agreement or on the Website, subscriptions renew automatically using the payment method on file for a period equal to the original term. Swepsv will notify you in advance of any upcoming renewal and explain how to cancel if you choose not to proceed.

Cancellation of Recurring Subscriptions. You may cancel a recurring subscription at any time by sending a clear written notice to the Company using the contact details provided in this Agreement, or through any cancellation controls available on the Website. If your notice is received before the next renewal date, the cancellation takes effect at the end of the current billing period.


7. Intellectual Property

Ownership. All intellectual property in the Services — including copyrights, trademarks, trade secrets, and patents — belongs to Swepsv, its licensors, or other designated rights holders. This content is protected under Canadian and international intellectual property law. This Agreement does not transfer any ownership interest in that intellectual property to you, and all rights not expressly granted here remain with the Company and its licensors.

License Granted to You. For the duration of this Agreement, Swepsv grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the content available through the Services for business or commercial purposes, in accordance with this Agreement. This licence ends when you stop using the Services or when this Agreement is terminated.

Restrictions on Use. Your licence is subject to the following limitations. You may not reproduce, publish, or distribute any part of the content except as expressly permitted. You may not modify, create derivative works from, or reverse engineer any part of the Services or its content. You may not sell, sublicense, transfer, rent, or otherwise exploit the content or the Services. You may not remove or alter any copyright or trademark notices. You may not use the content to build a competing product or service. You may not compile or systematically extract content to build any database or directory.

Trademarks. All trademarks, logos, and service marks displayed through the Services are the property of Swepsv or of third-party rights holders. Using any such marks without the prior written consent of their respective owners is prohibited.


8. User Content

Your Responsibility. Where the Services include interactive features — such as forums, message boards, or profile pages — you may be able to post or transmit content ("User Content"). You are solely responsible for anything you submit. All User Content must comply with the Content Standards below. Content you post is treated as non-confidential and non-proprietary, and you assume all associated risks, including risks related to accuracy and disclosure of personal information. Swepsv is not liable for any User Content posted by you or any other user, nor for losses arising from your interactions with other users. Disputes between users are the responsibility of those users, and Swepsv has no obligation to intervene.

Licence You Grant to Swepsv. By submitting User Content, you grant Swepsv an irrevocable, non-exclusive, royalty-free, fully paid, transferable, perpetual, and worldwide licence to use, reproduce, display, distribute, adapt, and incorporate that content into other works, and to sublicense those rights, in connection with the Services and the Company's business across any media format or channel. You confirm that you hold all rights necessary to grant this licence and you waive any claims against Swepsv for infringement of proprietary rights in material you have submitted. These licences operate subject to the Swepsv Privacy Policy (https://swepsv.com/privacy-policy) to the extent that your User Content contains personally identifiable information.

Content Standards. User Content must not violate any applicable law, regulation, or contractual obligation. It must not promote illegal activity or create a risk of harm to any person or property. It must not infringe the intellectual property rights of any third party. It must not be defamatory, abusive, threatening, hateful, obscene, or otherwise objectionable. It must not promote sexually explicit material, violence, or discrimination on any basis. It must not be false or intentionally misleading, or impersonate any individual or organization. It must not falsely imply any sponsorship, endorsement, or affiliation with Swepsv or any other entity.

Monitoring and Enforcement. Swepsv reserves the right, without obligation, to review, remove, or reject any User Content at any time and for any reason. The Company may report conduct to law enforcement, disclose User Content or user identity to comply with legal requirements or protect the Company's rights, and suspend or terminate access to the Services for any violation of this Agreement. Swepsv does not pre-screen User Content and accepts no liability for any content posted by users or third parties.

9. Copyright Infringement

Swepsv respects intellectual property rights and will terminate the accounts of repeat infringers. If you believe your copyrighted work has been reproduced on the Services without authorization, please submit a written notice to the designated copyright agent that includes: a physical or electronic signature of the rights holder or their authorized representative; identification of the copyrighted work alleged to have been infringed; identification of the specific material claimed to be infringing and its location on the Services; your contact details including address, phone number, and email; a statement of your good faith belief that the use is unauthorized; and a declaration, made under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf.

Please be aware that submitting a knowingly false infringement claim may expose you to liability for damages and legal costs incurred by Swepsv as a result.

10. Feedback

Any feedback or suggestions you provide regarding the Services are assigned in full to Swepsv upon submission. The Company may use and act on that feedback in any way it considers appropriate. All feedback is treated as non-confidential and non-proprietary. Please do not submit ideas or information that you regard as confidential or proprietary.


11. Assumption of Risk

Content available through the Services is provided for general informational purposes only. Swepsv makes no representations as to the accuracy, completeness, or suitability of that content for any particular purpose. Your reliance on any information presented through the Services is entirely at your own risk, and the Company disclaims all liability arising from such reliance.


12. SMS Notifications

Swepsv operates an SMS program that sends notifications, alerts, and occasional marketing communications to customers who have opted in to receive them.

You may cancel the SMS service at any time by replying STOP to any message. Upon receipt of that reply, Swepsv will confirm your opt-out by text, after which no further messages will be sent. To re-enroll, you may sign up again through the same process used initially.

Wireless carriers bear no liability for delayed or undelivered messages. Standard message and data rates may apply. Message frequency varies. 13. Privacy

The collection, use, and disclosure of your personal information is governed by the Swepsv Privacy Policy (https://swepsv.com/privacy-policy). By using the Services, you consent to those practices as described in that policy.


14. Termination

Swepsv may suspend or terminate your access to the Services at any time, for any reason or no reason, without advance notice. Upon termination, your right to use the Services ends immediately. The Company has no liability to you for any suspension or termination, including the deletion of your User Content. If you wish to terminate this Agreement yourself, you may do so by contacting the Company and requesting closure of your account.

Survival. Provisions of this Agreement that by their nature are intended to continue beyond termination — including intellectual property protections, warranty disclaimers, and limitations of liability — remain in full force after termination. Termination does not relieve you of obligations that arose prior to its effective date, and any liability you may have to Swepsv or third parties remains unaffected.


15. No Warranty

THE SERVICES ARE OFFERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. TO THE FULL EXTENT PERMITTED UNDER APPLICABLE LAW, SWEPSV MAKES NO WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

SWEPSV AND ITS LICENSORS DO NOT WARRANT THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES ARE FREE OF HARMFUL COMPONENTS. SWEPSV WILL NOT BE LIABLE FOR DAMAGE TO YOUR DEVICE, DATA LOSS, OR OTHER HARM RESULTING FROM YOUR USE OF THE SERVICES. THE COMPANY DOES NOT ENDORSE OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCTS OR SERVICES ADVERTISED THROUGH THE SERVICES.

NOTHING COMMUNICATED TO YOU VERBALLY OR IN WRITING IN CONNECTION WITH THE SERVICES CREATES ANY WARRANTY BEYOND WHAT IS EXPRESSLY STATED IN THIS AGREEMENT. WHERE APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, THOSE WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF YOUR FIRST USE.


16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, SWEPSV AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND — INCLUDING LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE LEGAL BASIS FOR THE CLAIM AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR ONLY REMEDY IF YOU ARE DISSATISFIED WITH THE SERVICES IS TO DISCONTINUE USING THEM. CERTAIN CANADIAN JURISDICTIONS MAY NOT PERMIT SOME OF THESE EXCLUSIONS, IN WHICH CASE THEY APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY LAW.


17. Indemnification

You agree to defend, indemnify, and hold harmless Swepsv and its affiliates, officers, directors, employees, agents, successors, and assigns from and against all losses, claims, damages, liabilities, penalties, fines, costs, and expenses — including reasonable legal fees — arising from your breach of this Agreement, your misuse of the Services, your User Content, or actions taken by any third party using your account. Swepsv reserves the right to assume control of the defense of any matter subject to indemnification at your expense, and you agree to cooperate fully with that defense.


18. Governing Law and Dispute Resolution

Governing Law. This Agreement and all matters arising from it are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

Jurisdiction. Any legal action or proceeding arising out of or related to this Agreement must be brought before a court of competent jurisdiction located in Ontario, Canada, although Swepsv retains the right to pursue claims against you in any jurisdiction where you reside or where the relevant conduct occurred. You irrevocably submit to the jurisdiction of those courts and waive any objection based on inconvenient forum.

Arbitration. At Swepsv's sole discretion, any dispute, claim, or controversy arising from or relating to this Agreement — including questions of its interpretation, enforcement, or validity — may be referred to binding arbitration before a single arbitrator under the rules of the Canadian Arbitration Association. The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction. The prevailing party in arbitration is entitled to recover reasonable legal fees, expert costs, and other directly incurred expenses, unless the arbitrator determines otherwise for good cause.

All arbitration proceedings are conducted on an individual basis. You waive any right to a jury trial and any right to participate in or initiate a class action, class arbitration, or any form of consolidated or representative proceeding. If a court finds that applicable law prohibits enforcement of any part of this arbitration provision as it applies to a specific claim, that claim alone may be severed and pursued in court.

YOU ACKNOWLEDGE AND ACCEPT THAT BY AGREEING TO THESE TERMS, YOU ARE GIVING UP YOUR RIGHT TO TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION.

Time Limit on Claims. Any claim or cause of action you may have arising from this Agreement or your use of the Services must be commenced within one (1) year of the date the cause of action arose. Claims not brought within that period are permanently barred.


19. Miscellaneous

Waiver. A failure or delay by Swepsv in exercising any right under this Agreement does not constitute a waiver of that right. A partial exercise of any right does not preclude any further exercise of that right or any other right.

Severability. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, that determination does not affect the validity or enforceability of the remaining provisions, either in that jurisdiction or any other.

Entire Agreement. This Agreement, together with all documents incorporated by reference, constitutes the complete and exclusive understanding between you and Swepsv regarding the Services, superseding all prior written and oral agreements on the same subject matter.

Headings. Section headings are included for convenience only and have no bearing on the interpretation of any provision.

No Agency or Partnership. Nothing in this Agreement creates an agency, partnership, or joint venture between you and Swepsv. You have no authority to bind the Company in any manner.

Assignment. You may not assign or delegate your rights or obligations under this Agreement without the prior written consent of Swepsv. Any purported assignment made without that consent is void and without effect. Swepsv may freely assign its rights and obligations at any time. This Agreement binds and benefits the parties and their respective permitted successors and assigns.

Export Compliance. The Services may be subject to applicable Canadian export control laws and regulations. You agree to comply with all such laws and not to transfer any materials from the Services to any foreign national or destination in violation of those requirements.
